Terms of Service

These Terms of Service ("Terms") govern your use of ClosIQ, a product of ICTECH Labs Company Limited ("we", "us", "our"). By creating an account or using ClosIQ, you agree to these Terms.

1. The Service

ClosIQ is an AI-powered lead management tool that connects to your WhatsApp Business account via Meta's official Cloud API. It provides automated replies, lead scoring, follow-up reminders, and a web dashboard for managing your WhatsApp enquiries.

2. Eligibility

You must be at least 18 years old.
You must have a valid WhatsApp Business account.
You must have the authority to connect your WhatsApp number and process the lead data that flows through it.

3. Your Account

You are responsible for keeping your login credentials secure.
You are responsible for all activity under your account.
You must provide accurate information during registration.
One account per person or business entity. Shared accounts are not supported.

4. Acceptable Use

You agree not to:

Use ClosIQ to send spam, unsolicited messages, or violate WhatsApp's Terms of Service.
Upload false, misleading, or fraudulent lead data.
Attempt to reverse-engineer, decompile, or extract the source code of ClosIQ.
Use ClosIQ for any illegal purpose or to process data you don't have the right to process.
Resell, sublicense, or white-label ClosIQ without written permission.

5. AI-Generated Content

ClosIQ uses AI to generate auto-replies, lead scores, and draft messages. You acknowledge that:

AI-generated content may not always be accurate or appropriate.
You are responsible for reviewing AI-generated messages before they are sent (unless you have enabled auto-send mode).
We are not liable for any consequences of AI-generated replies sent on your behalf.
Lead scores are estimates based on conversation analysis — they are not guarantees of conversion.

6. WhatsApp Compliance

ClosIQ operates through Meta's official WhatsApp Business Cloud API. You agree to:

Comply with WhatsApp's Business Policy and Commerce Policy.
Only message leads who have initiated contact with you or have given consent.
Respect opt-out requests — ClosIQ automatically detects "stop" and "unsubscribe" messages and pauses messaging.

7. Pricing & Payment

Beta period: During the beta, all features are free. No credit card is required.
Post-beta: We will provide at least 30 days' notice before any paid plans take effect. Beta users will receive permanently discounted pricing.
Refunds: If you are charged and are unsatisfied, contact us within 14 days for a full refund.

8. Data & Privacy

Your data is handled in accordance with our Privacy Policy. By using ClosIQ, you consent to the data practices described there.

9. Intellectual Property

ClosIQ, including its design, code, AI models, and branding, is the intellectual property of ICTECH Labs Company Limited. You may not copy, reproduce, or distribute any part of the service without written permission.

Your data remains yours. We claim no ownership of your lead data, conversations, or business information.

10. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service.
We may perform maintenance with reasonable notice.
We are not liable for downtime caused by Meta's WhatsApp API, third-party services, or events beyond our control.

11. Limitation of Liability

To the maximum extent permitted by law:

ClosIQ is provided "as is" without warranties of any kind.
We are not liable for lost revenue, missed deals, or any indirect damages arising from your use of ClosIQ.
Our total liability is limited to the amount you paid us in the 12 months before the claim.

12. Termination

You may close your account at any time from your dashboard or by emailing us.
We may suspend or terminate your account if you violate these Terms, with notice where possible.
On termination, your data will be deleted within 30 days in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any disputes will be resolved in the courts of Ho Chi Minh City, Vietnam.
